By accessing our website, creating an account, purchasing a subscription, or using any of our Services, you agree to be bound by these Terms and Conditions and our Privacy Policy. If you are acting on behalf of a company or organisation, you represent that you have authority to bind that entity.

These Terms apply to all current and future products, platforms and services operated by Ekon Labs, including StorVault, RealtyOSai, Reels-Estate, EsCasa, The Real Spain Estate Company, and any future software, SaaS platforms, AI services, websites or technology solutions developed or operated by Ekon Labs.

3. Services

Ekon Labs provides a range of technology services including but not limited to: AI software development, SaaS platform subscriptions, CRM systems, automation platforms and business software, AI agents, website development, marketing automation, consulting, real estate technology, storage management software, hospitality software, custom software development, API integrations, and cloud services.

The specific features, limitations, and terms of each Service are described in the applicable product documentation, service agreement, or subscription plan. We reserve the right to modify, update, or discontinue any Service with reasonable notice.

4. Accounts

To access certain Services, you must create an account. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You must:

• Provide accurate and complete registration information
• Keep your password secure and not share credentials
• Notify us immediately of any unauthorised access
• Ensure only authorised users access your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activity.

5. Subscriptions & Pricing

Subscription plans are billed on a recurring basis (monthly or annually) as specified at the time of purchase. Prices are displayed in Euros (EUR) and are exclusive of applicable taxes unless stated otherwise. VAT will be applied in accordance with Spanish and EU tax regulations.

We reserve the right to change subscription pricing with 30 days' written notice. Continued use of the Service after the effective date of a price change constitutes acceptance of the new pricing.

Free trials, where offered, are subject to the terms specified at the time of activation. Credit card details may be required to start a trial; you will not be charged until the trial period ends unless you choose to continue.

6. Payments & Invoicing

Payments are processed securely through Stripe. By providing payment details, you authorise us to charge the applicable fees on a recurring basis. All invoices are issued electronically and comply with Spanish invoicing regulations (Real Decreto 1619/2012).

For custom development and consulting projects, payment terms will be specified in the individual project agreement. Standard terms are 50% upfront and 50% upon delivery unless otherwise agreed in writing.

Late payments may incur interest at the rate established by Spanish commercial law. We reserve the right to suspend Services for accounts with outstanding balances after 14 days' notice.

7. Refunds & Cancellation

Please refer to our Refund Policy for full details. In summary:

• Monthly subscriptions: No refunds for the current billing period; cancellation takes effect at the end of the period
• Annual subscriptions: Pro-rata refund may be considered within 14 days of renewal
• Custom development: Non-refundable once work has commenced
• Consulting: Cancellations with less than 48 hours notice may be charged in full

8. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with our Acceptable Use Policy. You must not use our Services to:

• Violate any applicable law or regulation
• Transmit spam, malware, or harmful content
• Infringe intellectual property rights of third parties
• Attempt to gain unauthorised access to our systems
• Engage in fraudulent, deceptive, or abusive behaviour
• Reverse engineer, decompile, or disassemble our software

9. Intellectual Property

All intellectual property rights in our Services, software, documentation, branding, and content are owned by or licensed to Ekon Labs. Nothing in these Terms transfers any ownership of intellectual property to you.

We grant you a limited, non-exclusive, non-transferable, revocable licence to use our Services for your internal business purposes during the term of your subscription.

You retain ownership of all data and content you submit to our Services. By submitting content, you grant us a limited licence to process and store that content solely for the purpose of providing the Services.

10. AI-Generated Content

Our Services may include AI-powered features that generate text, images, recommendations, or other content. You acknowledge that:

• AI-generated content may be inaccurate, incomplete, or unsuitable for your specific needs
• You are responsible for reviewing and validating all AI-generated outputs before use
• AI outputs do not constitute legal, financial, medical, or professional advice
• We do not guarantee the accuracy, reliability, or fitness of AI-generated content

11. Beta & Preview Features

Beta and preview features are provided “as is” without any warranty, guarantee of availability, or commitment to continued development. Specifically:

• Beta features may be modified, suspended, or discontinued at any time without prior notice
• Beta features may contain bugs, errors, or incomplete functionality
• Data created or stored within beta features may be lost if the feature is discontinued
• Beta features are not subject to the same service level commitments as generally available features
• We do not guarantee that beta features will ever become generally available
• Feedback provided about beta features may be used to improve our products without compensation

By using beta or preview features, you acknowledge these limitations and agree not to rely on them for critical business operations. We recommend maintaining independent backups of any data processed through beta features.

12. Confidentiality

Each party agrees to keep confidential all non-public information disclosed by the other party in connection with the Services. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

We will not disclose your business data, client information, or proprietary content to third parties except as required to provide the Services or as required by law.

13. Service Availability

We aim to maintain high availability of our Services but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance where possible. We are not liable for downtime caused by factors outside our reasonable control, including third-party infrastructure failures, internet outages, or force majeure events.

Service Level Agreements (SLAs) for enterprise clients are specified in individual service agreements.

14. Liability & Warranties

Our Services are provided “as is” and “as available” without warranties of any kind, express or implied, except as required by applicable law. We do not warrant that our Services will be error-free, uninterrupted, or meet your specific requirements.

To the maximum extent permitted by applicable law, our total aggregate liability to you for any claim arising from or related to these Terms or the Services — whether in contract, tort, or otherwise — shall not exceed the greater of: (a) the total fees paid by you in the 12 months preceding the claim, or (b) €100.

We shall not be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to: loss of profits, loss of revenue, loss of data, loss of business opportunities, or business interruption, even if we have been advised of the possibility of such damages. This limitation applies to all claims arising from the use of our SaaS products, AI services, automation systems, consulting engagements, website development, and any other services provided by Ekon Labs.

We are not liable for the accuracy, completeness, or fitness of AI-generated outputs, automation results, or third-party integrations. You are solely responsible for validating outputs before relying on them for business decisions.

Nothing in these Terms limits or excludes liability for: death or personal injury caused by negligence; fraud or fraudulent misrepresentation; or any other liability that cannot be excluded or limited under applicable Spanish or EU law, including mandatory consumer protection rights.

15. Termination

Either party may terminate a subscription or service agreement in accordance with the notice period specified in the applicable plan or agreement. We may suspend or terminate your access immediately if you materially breach these Terms, engage in fraudulent activity, or fail to pay outstanding invoices after notice.

Upon termination, your right to use the Services ceases. You may request an export of your data within 30 days of termination. After this period, we may delete your data in accordance with our retention policy.

16. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including natural disasters, government actions, pandemics, war, terrorism, strikes, internet or infrastructure failures, or other events of force majeure. The affected party shall notify the other as soon as reasonably practicable and shall use reasonable efforts to resume performance.

17. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of Spain, including the Spanish Civil Code (Código Civil), the Spanish Commercial Code (Código de Comercio), and applicable European Union regulations including the GDPR, the Digital Services Act, and the AI Act.

Consumer clients in the EU retain the benefit of any mandatory consumer protection provisions applicable in their country of residence.

18. Dispute Resolution

In the event of a dispute, the parties agree to first attempt to resolve the matter through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be submitted to the exclusive jurisdiction of the competent courts of Alicante, Spain, unless mandatory consumer protection law requires otherwise.
